1. Acceptance of these Terms
These Terms and Conditions ("Terms") govern your use of grooveinfo.com (the "Website") and any data, lists, enrichment, verification, cleansing or related services ("Services") provided by GrooveInfo Tech Solutions ("GrooveInfo", "we", "us" or "our").
By using the Website, requesting a sample, placing an order or using any data we deliver, you agree to these Terms on behalf of yourself and the business you represent ("Customer", "you" or "your"). You confirm that you have authority to bind that business. If you do not agree, please do not use the Website or our Services.
Our Services are offered to businesses for business purposes only and are not intended for consumers.
2. Definitions
- "Data" means any business contact, company, technographic, healthcare professional or other information we deliver to you, including samples.
- "Customer Data" means any file, list or information you send to us, for example for email append, data append, verification or cleansing.
- "Order" means a quote, proposal, order form, invoice or email confirmation that describes the Services, Data, fees and any special terms agreed between us.
- "Authorised Users" means your employees and contractors who need access to the Data for your internal business purposes.
3. Our Services and Orders
We build and deliver B2B data to your specifications and provide enrichment, verification and cleansing of Customer Data. The scope, volume, fields, delivery format, timelines and fees for each project are set out in the applicable Order.
An Order becomes binding when you confirm it in writing (including by email) or make payment. If an Order conflicts with these Terms, the Order prevails for that project.
Delivery timelines are estimates given in good faith. Delivery is complete when we send the Data to you by email, secure link or another agreed method.
4. Free Samples
Samples are provided free of charge so you can evaluate the quality of our Data. Samples may be used only to evaluate our Services and to run a small test, and are subject to the same licence restrictions, compliance obligations and disclaimers as purchased Data.
5. Licence to Use Data
Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the Data for your own internal business purposes, such as sales, marketing, account research and CRM management, for the licence period stated in your Order.
Unless your Order states otherwise, purchased Data may be retained and used by your organisation for these purposes after delivery, provided you continue to comply with these Terms and applicable law, including honouring any opt-out or deletion requests you receive.
6. Restrictions
You must not, and must not allow others to:
- resell, rent, license, publish, share or otherwise distribute the Data, in whole or in part, to any third party, or include it in a product or database offered to others, without our written consent;
- use the Data to determine any person's eligibility for credit, insurance, employment, housing or any other purpose covered by the U.S. Fair Credit Reporting Act or similar laws (the Data is not a "consumer report");
- use the Data to send unlawful, misleading or harassing communications, or for spam, phishing, fraud or any illegal purpose;
- use the Data to contact people for purposes unrelated to their professional role;
- use the Data to build a competing data product or service; or
- remove or alter any notices of ownership or confidentiality included with the Data.
7. Your Compliance Responsibilities
You are responsible for how you use the Data and for complying with all laws that apply to your use, which may include, depending on where you and your contacts are located:
- the U.S. CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA) and national and state do-not-call rules;
- the EU General Data Protection Regulation (GDPR), the UK GDPR and the UK Privacy and Electronic Communications Regulations (PECR) and other ePrivacy rules;
- Canada's Anti-Spam Legislation (CASL);
- the California Consumer Privacy Act as amended by the CPRA, and other U.S. state privacy laws;
- Australia's Spam Act, Singapore's PDPA and other local laws in the countries you target.
In particular, you must identify yourself clearly in communications, provide a working opt-out, honour opt-out and deletion requests promptly, maintain your own suppression lists, and determine whether consent or another lawful basis is required for your outreach. We may provide general guidance, but it is not legal advice.
8. Customer Data You Send to Us
When you send us Customer Data for enrichment, verification or cleansing, you confirm that you have the right to share it with us for that purpose. We use Customer Data only to perform the Services you requested, keep it confidential, and delete or return it after the project in line with our Privacy Policy or your instructions, unless we must keep it to meet legal obligations.
You retain all rights in your Customer Data. Where data protection law requires a written data processing agreement, we will enter into one on request.
9. Data Accuracy and Replacements
We verify Data before delivery and work to keep it accurate. However, business contact information changes constantly as people change roles and companies change details, so we cannot guarantee that every record will be accurate, complete or current at all times.
If you believe delivered Data does not meet the specifications in your Order, tell us in writing within the period stated in your Order (or, if none is stated, within 30 days of delivery), with examples. Our sole obligation, and your exclusive remedy, is that we will review the issue and, where appropriate, correct or replace the affected records or provide a credit, as set out in your Order.
10. Fees, Invoicing and Taxes
Fees are set out in your Order and are payable as stated on our invoice. Unless agreed otherwise, fees are quoted in U.S. dollars and exclude taxes, which you are responsible for (other than taxes on our income).
We may suspend delivery or Services if payment is overdue. Except as required by law or stated in your Order, fees for Data that has been delivered are non-refundable, because delivered Data cannot be returned.
11. Confidentiality
Each party will keep confidential any non-public information received from the other that is marked confidential or would reasonably be understood to be confidential, including pricing, Customer Data and the Data, and will use it only to perform or receive the Services. This does not apply to information that is public, already known, independently developed or required to be disclosed by law.
12. Intellectual Property
The Data, our databases, compilations, methods and the Website content (including text, design, graphics and logos) are owned by GrooveInfo or its licensors and are protected by intellectual property laws. Apart from the licence in Section 5, no rights are transferred to you. You may not copy, scrape or reproduce Website content or Data except as these Terms allow.
13. Use of the Website
You agree not to misuse the Website, including by attempting unauthorised access, interfering with its operation, introducing malicious code, or using automated tools to scrape or copy content. Website content, guides and tools (such as calculators) are provided for general information only and are not legal, financial or professional advice.
The Website may link to third-party websites. We are not responsible for their content or practices.
14. Privacy
Our Privacy Policy explains how we handle personal information, including information about visitors to this Website and the business contacts in our database. Individuals can exercise their privacy rights, including opting out of the sale or sharing of their information, through our Privacy Request page.
15. Disclaimer of Warranties
Except as expressly stated in these Terms or your Order, the Website, Services and Data are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and any warranty that the Data will produce particular business results.
16. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business or goodwill, arising out of or relating to these Terms, the Services or the Data.
Our total liability for all claims arising out of or relating to these Terms, the Services or the Data will not exceed the fees you paid to us for the specific Order giving rise to the claim in the twelve months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnification
You will defend, indemnify and hold harmless GrooveInfo and its owners, employees and agents from claims, losses, fines and expenses (including reasonable legal fees) arising from your use of the Data or Services in breach of these Terms or applicable law, including your marketing communications.
18. Suspension and Termination
We may suspend or terminate Services or your licence to use the Data if you materially breach these Terms and do not remedy the breach within 15 days of notice, or immediately if your use of the Data is unlawful or threatens harm to others. On termination for your breach, you must stop using and delete the affected Data. Sections that by their nature should survive termination, including restrictions, confidentiality, limitation of liability and indemnification, will survive.
19. Events Beyond Our Control
Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, power or internet outages, acts of government or other unforeseeable events, provided it takes reasonable steps to limit the impact. This does not excuse payment obligations.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-law rules. The parties will first try in good faith to resolve any dispute informally. If a dispute cannot be resolved within 30 days, it will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and each party consents to that jurisdiction.
21. General
These Terms and your Order are the entire agreement between us for the Services and replace any prior understandings on the same subject. If any provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. Notices to us must be sent to contact@grooveinfo.com.
22. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Changes do not affect Orders already confirmed unless both parties agree. Your continued use of the Website or Services after an update means you accept the updated Terms.
